Terms of Service & License Agreement

1. Acceptance of Terms

By creating an account, accessing, or using the Vantoryx platform (the "Service"), operated by Vantoryx Technologies, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Service.

2. Nature of the Service & Educational License

Vantoryx provides proprietary financial analysis tools, simulation engines, historical market replay, algorithmic backtesting, and automated trade journaling software.

• The Service is licensed strictly for personal, educational, research, and simulation purposes.
• Vantoryx does not execute real-money orders, custody client funds, or operate as a registered broker-dealer or investment adviser.
• All account balances inside simulated demo accounts and challenge evaluations are virtual credits with zero real-world monetary value.

3. User Eligibility & Minimum Age

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to register an account or subscribe to Vantoryx. By using the Service, you represent and warrant that you meet this age requirement and have full legal capacity to enter into a binding agreement.

4. User Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify Vantoryx at support@vantoryx.co of any unauthorized account access.

5. Subscriptions, Billing & Merchant of Record

Vantoryx utilizes Paddle as its Merchant of Record (MoR) for processing subscription memberships, recurring billing, global tax compliance, and invoicing.

• Billing Cycles: Paid tiers (Pro at $19/mo or $190/yr; Elite at $29/mo or $290/yr) renew automatically at the start of each billing cycle unless cancelled prior to renewal.
• Free Trials: If you activate a 7-day Pro trial, you receive Pro access for 7 days. If not upgraded, your access automatically reverts to the Free tier at expiration without unintended charges.
• Cancellation: You may cancel your subscription at any time via the billing portal. Upon cancellation, your access remains active until the end of your prepaid period.

6. Prohibited Conduct

When using Vantoryx, you agree not to:

• Reverse-engineer, decompile, or extract source code or proprietary risk algorithms from the platform.
• Scrape, redistribute, or resell real-time or historical market data feeds without explicit authorization.
• Attempt to bypass plan entitlement limits, account quotas, or security firewalls.
• Use automated scripts, bots, or unauthorized scrapers to disrupt platform infrastructure.

7. Intellectual Property & User Content

All software, visual interfaces, interactive charts, algorithms, trader score models, and content on Vantoryx are the exclusive intellectual property of Vantoryx Technologies.

You retain full ownership of your journal entries, strategy notes, and uploaded chart screenshots. You grant Vantoryx a non-exclusive, worldwide, royalty-free license to store, process, and display your content solely for the purpose of operating the Service for your account.

8. Market Data & Service Availability

Market data is provided by third-party data vendors. While Vantoryx aims for high platform availability, we do not guarantee continuous, error-free, or latency-free market feed delivery. Vantoryx shall not be liable for provider outages, feed delays, or scheduled maintenance downtime.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VANTORYX AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOSS OF PROFITS, DATA LOSS, OR SYSTEM DOWNTIME RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, United States.
